MEMO

If Smiley can be induced to compromise with me I propose the following conditions Viz. That Smiley pay to me $30,000 and in consideration of that sum duly paid I stay all actions now pending & make over to him my bills of laden (sic) representing about $150,000 more or less & take no action against him either directly or indirectly and in event of such compromise being effected within 15 days from this date I engage to pay to Wm. Kimble out of said $30,000 $10,000, and to the others engaged & to pay expenses another $10,000 reserving the remaining $10,000 to settle with the owners of the treasure.
